  2018年,公司克服各种不利因素,顺应市场发展趋势,强化风险管控和成本控制,不断提升内部管理,平稳推进业务拓展和网点建设,确保公司正常运营。
  A、百货业态以结果为导向,着力回归商业本质,以满足消费者的真正和实际需求为目标,精打细算、深入挖潜,向内涵式管理要效益;各店铺因地制宜根据经营的需要,结合市场变化趋势进行定位调整,突出特色经营优势,强化场景体验,吸引顾客到店参与,取得了预期的成果。
  B、超市业态不断创新变革,积极调整商品结构,打破固有经营理念,坚持一体化运作,各卖场实施梳理品类结构,减品增效,加快淘汰滞销品和贡献较低的单品,将高毛利直采商品快速引进店铺等策略,坚持“三高一低”标准(高毛利率、高品质、高销售、低价格),商品品质和销售有所提升。
  C、电器业态紧盯行业市场变化,在消费升级、产品结构调整、多样化品质生活诉求上升等市场变化的大趋势下,强化品牌营销,合理布局品牌嵌套,固化厂家、市场、采购、零售、终端等多位合作,谋求发展并取得了一定的成绩。

  二、报告期内主要经营情况
  报告期内,公司实现营业收入63.73亿元,同比下降5.21%;归属于上市公司股东的净利润2.42亿元,同比下降19.36%;归属于上市公司股东的扣除非经常性损益的净利润2.20亿元,同比下降23.49%。导致公司净利润大幅度下降的主要原因是电器业态受电商和市场竞争影响较大,销售收入同比下降使进货量同比减少,收取的返利同比减少造成利润大幅度下降。

  (一)行业格局和趋势
  从当前零售行业发展的形势来看,零售行业呈现出线上线下专业化、融合化发展;资本已经介入,将出现大型的商超综合体的整合重组;体验式消费,个性化的服务持续融入消费者的生活;新兴技术的引入,使得企业朝着智能化、科技化的方向发展。
  零售商尤其是行业头部企业将以消费者为核心,大力发展全渠道多元业务,通过融合线上线下,实现商品、会员、交易、营销等数据的共融互通,为顾客提供跨渠道、无缝化的购物体验,进而实现综合服务新型零售企业转变。未来,零售行业仍将回归零售本质,聚焦消费需求,积极创新求变,大力向品质化、智慧化、体验化零售发展,向为满足人民日益增长美好生活需要的先导性行业而努力。

  公司在接下来的发展过程中将进一步适应市场变化,在业态布局、产业结构、经营模式方面不断寻求探索转型方向和更适宜当前经济环境下的经营模式,通过“强基、创新、人才”三大工程来强化基础管理、融入新零售、优化供应链、发挥比较优势,塑造企业核心竞争力,以实现企业维持在区域内的持续健康发展,保持公司在区域零售市场中的优势地位,并将企业从零售商向生活服务商跨越转型,在新型生活服务领域抢得头筹。同时公司还将在条件许可的情况下,积极探索其他投资方向,为公司后续发展寻找新的利润增长点。
  (三)经营计划
  新的一年,公司将继续以提升经营质量和效益为重点回归商业本质,以零售市场的发展变化和贴近消费者的真正需求变化为着眼点,强化基础管理、整合三大业态,引进数字化体系、动员全员创新转型,加强薪酬激励、优化梯队选拔来激活公司的创新机制,提升公司的运营能力,力争实现模式最佳、流程最优、成本最低、效率最高、速度最快、体验最好的全新商业生态。
  A、公司百货业态将“以结果为导向,整合资源,赋能经营,打造目标明确、动力澎湃、制动强劲的和谐新文峰”为主线,更加贴近市场和顾客需求适应市场变化趋势,以商品和服务为核心,辩证调整布局、优化供应链资源、巩固异业联盟、强化满意工程,来突出品牌+个性+会员,加强顾客互动体验、提升会员尊享,并充分利用新媒体、融合线上线下营销,实现最佳经营效果。
  B、公司超市业态将进一步完善销售网络布局,通过调整商品结构、梳理定价策略、转变营销方式和提升营运技能实现品质、品牌、陈列及环境升级,贯彻高品质、高毛利、低价格的经营理念,实施多渠道一体化、多区域一体化之经营策略,优化进货渠道,减少中间环节确保销售额及综合毛利率的提高。
  C、公司电器业态将紧扣创新、变革两大主题,赋予企业可持续发展。将通过中央空调集成、团购工程、3C提档升级、前置家电、家居、线上线下融合等措施,提升市场增长点和机会点,将通过推进减员增效,实现精干高效的团队,实现干部队伍的年轻化,实现管理流程再造和优化,用创新和变革的力量,打造强基工程,实现管理的“全覆盖”,进一步提升公司质量效益型发展。
  (四)可能面对的风险
  A、国内经济增长放缓,将直接影响居民收入和消费信心,会对零售市场和公司的业务发展带来不利影响;
  B、公司所在区域市场及周边市场均处竞争较激烈的态势,将导致公司市场占有率和盈利能力下降;
  C、行业竞争导致运营成本的上升,盈利空间缩水,刚性支出增加等;
  D、伴随零售市场经营技术和业态创新速度不断加快,公司管理人员的专业化能力、营运模式的应对能力以及市场拓展能力尚待提高。
  虽然公司正在对现有管理模式、管理方式进行适应性调整和局部改革,以正视管理运作困难和复杂性都有所提升的现实,但公司是以实体零售业务为主,随着网络零售与创新零售权重比例的逐年增长、市场内购物中心兴起的侵蚀,使得我们市场竞争进一步加剧,若公司无法实现业务模式、品牌结构的调整和创新,则可能面临业务规模和盈利能力持续下降的风险。

  公司在南通等地区零售市场发展具有规模、业态、品质及信誉的相对优势,但市场竞争激烈的格局仍在持续加剧,公司百货、超市、电器、购物中心等业态与包括金鹰、八佰伴、大润发、苏宁、国美与圆融、吾悦、万象城等国内零售巨头、商业地产的竞争氛围日益白热化,对公司所在商圈店铺的客流稳定形成不利影响,公司为巩固强化经营优势,已先后开立了综合购物中心文峰城市广场,以填补公司业态组合的不足,同时增强公司在本市场的影响力。
