配偶同意书

签名人，[配偶姓名]，中华人民共和国（“中国”或“中华人民共和国”）公民持中华人民共和国身份证号码：[身份证[数量]，是[VIE股东名称]的合法配偶，中国公民持有中华人民共和国身份证号码：[身份证号码]。本人无条件且不可撤销地同意[VIE股东名称]于2019年3月29日签署的以下文件（以下简称“交易文件”），并同意出售Cloudminds（深圳）的股权控股有限公司（以下简称“the Company”）按照以下文件的规定以[名称VIE股东]的名义持有并注册：

（1）经修订和重述与Cloudminds Inc.及其子公司Cloudminds（Shenzhen）Robotics Systems Co.，Ltd。签署的独家购买选择权协议（以下简称“WFOE“），及本公司;

（2）与外商独资企业及本公司签订的修订及重订股权质押协议;

（3）与外商独资企业签订的修订及重订贷款协议;

（4）权力由[VIE股东名称]签署的代理人。

我承诺不对[VIE股东名称]持有的本公司股权提出任何索赔。我进一步确认[VIE股东名称]无需进一步授权或批准我执行交易文件并进一步修改或终止交易文件。

我承诺签署所有必要文件并采取一切必要行动确保交易文件（不时修订）得到妥善执行。

我同意并承诺，如果我因任何原因收购[VIE股东名称]持有的本公司股权，我将受到（经不时修订的交易文件及经修订及重订的独家咨询及服务协议（以下简称“Exclusive Consulting and Service Agreement”) signed between the WFOE and the Company on March 29, 2019, and comply with the obligations as the Company’s shareholders (as amended from time to time) under the Transaction Documents and the Exclusive Consulting and Service Agreement, and for this purpose, once the WFOE makes a requests, I shall sign a series of written documents with the same format and content as the Transaction Documents (as amended from time to time) and the Exclusive Consulting and Service Agreement.
