然而，凭藉一方面与SINSIN订立的股份买卖协议（“SPA”），另一方面由注册地址位于开曼群岛Maples Corporate Services Limited，PO Box 309，Ugland House，Grand Cayman，KY1-1104，Cayman Islands的公司SPI绿能宝有限公司订立的股份买卖协议（“SPA”），其主要行政办公室位于4803 Urbani Ave，McClellan Park，加利福尼亚州,95652（下称“SPI绿能宝”）与注册地址为香港九龙观塘鸿途道52号1128号11楼的香港法团SPI China（HK）Limited订立的股份买卖协议（“SPA”），其主要行政办公室位于香港九龙观塘鸿途道52号1128号11楼（以下简称“SPI HK”，与SPI绿能宝统称“SPI”），中信建投向SPI出售若干公司的股份，该等公司直接及/或间接拥有希腊若干运营中的光伏园区，总发电量为26.57兆瓦。

鉴于SPA执行后，SPI与SINSIN就SPA的各种条款发生争议，在此过程中发生了马耳他、希腊和美利坚合众国的仲裁和法庭诉讼（“争议”）；
In view，after the signing of SPA，SPI and SINSIN had disputes on various terms of SPA，and during this period，arbitration and court lawsuits occurred in Malaysia，Greece and the United States（hereinafter referred to as“disputes”）；

然而，为避免进一步的法律费用以及妥协和解决各方之间的所有争议，SINSIN与SPI订立了日期为2025年1月2日的和解协议（以下简称“和解协议”），据此，SPI已同意，除其他外，关于和解金额的某些还款条款；除非本担保另有明确说明，否则本担保中对大写条款的任何提及均应被解释为参考和解协议中规定的这些条款的定义。
In view，in order to avoid further legal expenses and in order to resolve all disputes between all parties，SINSIN and SPI signed a settlement agreement（hereinafter referred to as“settlement agreement”）on January 2,2025. 然而，本担保协议（本“担保”）是根据和解协议订立的，并作为SINSIN同意和解协议条款的诱因而给予。
In view，this guarantee agreement（hereinafter referred to as“guarantee agreement”）is signed according to the provisions of the settlement agreement，in order to prompt SINSIN agree to the terms of the settlement agreement。
因此，现在担保人和信安同意：
Therefore，the guarantor and SINSIN agree：
| 1. | 担保人为SPI履行和解协议义务提供连带担保。 |
The guarantor provides joint and several liability guarantee for SPI fulfilling the obligations agreed under the reconciliation agreement。
| 2. | 担保人提供的担保范围包括但不限于《和解协议》项下的所有债务和义务，以及中国信安为实现其在《和解协议》项下的权利和权利以及本次担保而发生的所有法律费用和开支（“担保义务”) |
The scope of guarantor provides guarantees includes but are not limited to all debts under the reconciliation agreement，as well as all legal expenses and expenses generated by SINSIN for realizing the reconciliation agreement and the rights and interests under this guarantee agreement（hereinafter referred to as“Guaranteed Debt”）。
| 3. | SPI未按照和解协议按时进行任何分期付款的，担保人应在收到SINSIN书面付款通知后五日内无条件按要求并按要求的方式进行付款。 |

| 4. | 保证人承担的担保责任期限（“担保期限"）应为履行SPI在和解协议项下义务的期限届满之日起三年。为免生疑问，《结算协议》已约定SPI可分期支付结算金额的，每期保证期间自最后一期履行期限届满之日起计算。 |
The guarantor assumes guarantee liability guarantee period（“guarantee period”）is：three years from the date of expiration of the obligation performance period under the settlement agreement under SPI. In order to exempt the meaning，if the settlement agreement stipulates that SPI can pay payments in installments，the guarantee period shall be counted from the date expiration of the last tranche of debt performance period。
| 5. | 信安和SPI可以同意修改和解协议，而无需事先征得担保人的同意。担保人应继续为修订后的和解协议提供担保。 |
The content of SINSIN and SPI Agreement changes and settlement agreement does not need to obtain the consent of the guarantor in advance. The guarantor assumes guarantee liability within the changed guarantee scope。

| 6. | 本担保项下要求或允许给予或作出的任何通知、要求或其他通信将以书面形式进行，并在以下情况下有效给予和作出： |
根据本担保协议所要求或允许的任何通知、要求或其他沟通，应以书面形式进行，如果按照以下情况得到充分执行和履行，将视为有效送达：

| 7. | 本保函由三个对应方执行，由每一方分别对应方执行。每一个对应物都是一个原件，但所有对应物将共同构成一个和同一个文书。 |
本担保协议一式三份，并由每一方签署单独的副本。每个副本均为原件，但所有副本将共同构成一份文件。
| 8. | 这份保证书以英文起草，翻译成中文，便于阅读。中英文版本如有歧义或不一致之处，以英文版本为准。 |
本合同以英文书写并翻译成中文方便阅读。若中文和英文版本存在歧义或矛盾之处，以英文版本为准。

| 9. | 本担保的任何变更必须以书面形式，并由当事人或代表当事人签字。 |
对本担保协议的任何变更必须以书面形式作出并由各方或其代表签署。
| 10. | 本担保以及与之有关或由此产生或与之有关的任何合同义务和非合同义务，应受中华人民共和国法律管辖并完全按照中华人民共和国法律解释。 |
本担保协议及与之相关或由之产生的任何合同和非合同义务应受中华人民共和国法律的管辖，并依据其解释。
| 11. | 因本担保而产生或与本担保有关的一切争议，最终以香港国际仲裁中心经管的仲裁方式解决（“HKIAC”）根据提交仲裁通知时有效的HKIAC被管辖仲裁规则。担保人和信安同意：（1）因本和解协议产生的任何争议必须以特别紧急的方式作出裁决；（2）仲裁程序按照HKIAC的快速程序进行。仲裁庭应由一（1）名仲裁员组成。独任仲裁员应为希腊、中国、马耳他或美利坚合众国国籍以外的其他国籍。仲裁程序应以英文进行，并在香港进行。仲裁裁决为终局裁决，对各方当事人具有约束力。 |
All disputes caused or related to this guarantee agreement shall be submitted to Hong Kong International Arbitration Center（“HKIAC”）and finally resolved according to the valid“Hong Kong International Arbitration Center Arbitration Rules”when submitting arbitration notice ". The guarantor and SINSIN agree that（1）any disputes arising due to this settlement agreement shall be decided special emergency；and（2）arbitration procedures shall apply simplified procedures.
