Item 1.01. Entry into a Material Definitive Agreement.

 

On August 20, 2021, Rite Aid Corporation (the “Company”) entered into an amendment (the “Amendment”) to its senior secured credit agreement, dated as of December 20, 2018 (as amended by the First Amendment to Credit Agreement, dated as of January 6, 2020, and as further amended by the Amendment, the “Credit Agreement”), among the Company, the lenders party thereto and Bank of America, N.A., as administrative agent and as collateral agent, in order to, among other things, (i) increase the aggregate principal amount of commitments under the revolving facility to $2,800,000,000, (ii) decrease the aggregate principal amount of loans outstanding under the “first-in last-out” term loan facility (the “FILO Facility”) to $350,000,000, (iii) extend the scheduled maturity date of the obligations under the Credit Agreement from December 20, 2023, to August 21, 2026 (subject to a springing maturity if certain of the Company’s existing secured notes are not refinanced or repaid prior to the date that is 91 days prior to the stated maturity thereof), (iv) decrease the interest rate applicable to loans under the FILO facility to a rate per annum equal to, at the Company’s option, (x) a base rate (determined in a customary manner) plus a margin of 1.75% or (y) an adjusted LIBOR rate (determined in a customary manner) plus a margin of 2.75% and (v) incorporate customary “hardwired” LIBOR transition provisions.
